Introduction

Welcome to Champions Photo Manager, operated by Building Brackets, a Division of Ultimate Team Products. These Terms of Service ("Terms") govern your use of our website, applications, and services (collectively, the "Service").

By accessing and using Champions Photo Manager, you agree to be bound by these Terms. If you do not agree to any part of these Terms, please do not use the Service. We reserve the right to modify these Terms at any time, and your continued use constitutes acceptance of changes.

1. Acceptance of Terms

By creating an account and using Champions Photo Manager, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. These Terms constitute the entire agreement between you and Building Brackets regarding your use of the Service.

If you do not agree to these Terms, you may not create an account or use the Service. Your use of the Service is conditioned upon your acceptance of these Terms without modification.

2. Service Description

Champions Photo Manager is a web-based application that enables youth sports tournament directors to:

• Upload and store champion photos from sporting events
• Add logos and watermarks to photos for branding
• Publish photos to their Facebook Pages directly from the application
• Track engagement and analytics on posted content

We provide the Service "as is" without guarantees. We may modify or discontinue features with notice to users.

3. User Accounts

3.1 Account Creation

To use Champions Photo Manager, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and are liable for all activities that occur under your account.

3.2 Account Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. You may not use the Service if you are prohibited by law or if you are a competitor of Building Brackets. Accounts for youth sports tournaments must be created by an adult with authority to manage the tournament.

3.3 Account Security

You are responsible for:

• Maintaining the security of your password and login credentials
• Notifying us immediately of unauthorized access to your account
• All activities that occur under your account
• Keeping your account information up to date

We are not responsible for unauthorized access to your account if you fail to maintain reasonable security measures.

3.4 Account Termination

You may delete your account at any time through your account settings. Upon deletion, your account data will be deleted within 30 days, except where we are required to retain information by law.

4. Acceptable Use

You agree to use Champions Photo Manager only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment of the Service. Prohibited conduct includes:

4.1 Prohibited Actions

• Uploading or distributing photos without proper consent or rights
• Uploading illegal, defamatory, obscene, or abusive content
• Violating the intellectual property rights of others
• Harassing, threatening, or intimidating other users
• Attempting to gain unauthorized access to the Service or other users' accounts
• Using automated tools or scripts to access the Service without permission
• Circumventing security measures or access controls
• Uploading malware, viruses, or malicious code
• Reverse engineering or attempting to derive the source code of the Service
• Violating any applicable laws or regulations
• Spamming or sending unsolicited communications
• Violating Facebook's Terms and Community Standards

4.2 Photo Upload Responsibilities

By uploading photos to Champions Photo Manager, you represent and warrant that:

• You own or have obtained all necessary rights and permissions to use the photos
• You have obtained proper consent from individuals appearing in photos, including parental/guardian consent for minors
• The photos do not violate any third-party rights
• You have the right to post the photos to Facebook on behalf of your tournament
• The photos comply with Facebook's Community Standards and Terms

4.3 Enforcement

We reserve the right to suspend or terminate your account and access to the Service if we determine that you have violated these Terms or engaged in prohibited conduct. We may also remove content that violates these Terms without prior notice.

5. Intellectual Property Rights

5.1 Service Ownership

All content, features, functionality, design, graphics, text, logos, images, and code of Champions Photo Manager are owned by Building Brackets or its content suppliers and are protected by United States and international copyright, trademark, and other intellectual property laws.

5.2 User Content License

By uploading photos and other content to Champions Photo Manager, you grant us a non-exclusive, worldwide, royalty-free license to:

• Store, process, and host your photos on secure servers
• Apply logos and watermarks you request
• Post content to Facebook on your behalf
• Use anonymized analytics about your usage (without identifying you)

This license expires when you delete your account or the specific content.

5.3 Retention of Rights

You retain all ownership rights to the photos and content you upload. We do not claim ownership of your photos, and you may delete them at any time.

5.4 Prohibited Use

You may not:

• Reproduce, distribute, or transmit any content from the Service
• Modify or create derivative works of the Service
• Reverse engineer or attempt to extract source code
• Use the Service's branding or logos without permission
• Copy or scrape the Service for competitive purposes

6. Facebook Integration

6.1 Facebook Compliance

By connecting your Facebook Page to Champions Photo Manager, you agree to comply with Facebook's Terms of Service, Community Standards, and all applicable policies. You can review Facebook's policies at facebook.com/policies.

6.2 Authorization

You represent and warrant that you have the authority to connect your Facebook Page to Champions Photo Manager and to authorize us to post content on your behalf. If you manage multiple Pages, you have permission to act on behalf of all connected Pages.

6.3 Content Responsibility

You are solely responsible for the content you post to Facebook through Champions Photo Manager. You warrant that:

• All content complies with Facebook's Community Standards
• You own or have rights to all photos posted
• Content does not infringe third-party rights
• You have obtained all necessary consents, including for minors
• Content is accurate and not misleading

6.4 Facebook Disconnection

You may disconnect your Facebook account from Champions Photo Manager at any time. Disconnecting will:

• Revoke our permissions to post on your behalf
• Delete stored Facebook access tokens
• Remove the ability to post photos through our Service

Previously posted content on Facebook will remain on your Page.

6.5 No Affiliation

Building Brackets is not affiliated with, endorsed by, or sponsored by Facebook, Inc. (Meta Platforms, Inc.). The use of Facebook's name and logos in Champions Photo Manager is for identification purposes only.

7. Limitation of Liability

7.1 Disclaimer of Warranties

Champions Photo Manager is provided "as is" and "as available" without warranties of any kind. Building Brackets disclaims all warranties, express or implied, including:

• Merchantability or fitness for a particular purpose
• Title or non-infringement
• Uninterrupted or error-free operation
• Security of data storage

7.2 Service Interruptions

We do not guarantee that:

• The Service will be available at all times or without interruption
• Errors or defects will be corrected
• The Service is free from viruses or harmful components
• Facebook integration will function without issues

7.3 Limitation of Damages

To the maximum extent permitted by law, Building Brackets shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunity
• Damage to reputation or goodwill
• Costs of cover or substitute goods or services

This applies even if Building Brackets was advised of the possibility of such damages.

7.4 Total Liability Cap

In no event shall Building Brackets' total liability for all claims exceed the amount paid by you for the Service in the 12 months preceding the claim. If you have not paid any fees, liability is limited to $100.

8. Indemnification

You agree to indemnify, defend, and hold harmless Building Brackets, its officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, and expenses (including legal fees) arising from or related to:

• Your use of Champions Photo Manager
• Your violation of these Terms
• Your infringement of third-party rights (intellectual property, privacy, etc.)
• Content you upload or post through the Service
• Your violation of applicable laws or regulations
• Unauthorized use of your account
• Claims by third parties related to your use of the Service

This indemnification obligation applies even if the claim alleges negligence or strict liability on the part of Building Brackets.

9. Termination

9.1 Termination by You

You may terminate your account at any time by deleting it through your account settings. Upon termination, you lose access to the Service and stored content. Data will be deleted within 30 days except as required by law.

9.2 Termination by Building Brackets

We may terminate or suspend your account and access to the Service immediately and without notice if:

• You violate these Terms or our Privacy Policy
• You engage in prohibited conduct or illegal activity
• You infringe third-party rights
• We determine your use harms the Service or other users
• We discontinue the Service (with reasonable notice)

9.3 Effect of Termination

Upon termination:

• Your right to use the Service ceases immediately
• You lose access to your account and content
• We will delete your data within 30 days
• Previously posted content on Facebook remains on your Page

10. Modifications to Terms

Building Brackets may modify these Terms at any time. We will notify you of material changes by email or by posting the updated Terms on the Service with a new "Last Updated" date. Your continued use of Champions Photo Manager after changes become effective constitutes your acceptance of the modified Terms.

If you do not agree to modified Terms, you must stop using the Service and delete your account.

11. Governing Law and Jurisdiction

11.1 Governing Law

These Terms and your use of Champions Photo Manager are governed by and construed in accordance with the laws of the United States and the State of Colorado, without regard to its conflict of law principles.

11.2 Jurisdiction and Venue

You agree that any legal action or proceeding arising from or relating to these Terms or your use of the Service shall be brought exclusively in the federal or state courts located in Colorado. You consent to the jurisdiction of these courts and waive any objections to venue.

11.3 Dispute Resolution

Before initiating legal action, we encourage you to attempt to resolve any disputes by contacting us at julie@utproducts.com. If informal resolution is unsuccessful, the dispute shall be resolved in the courts specified above.

12. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Building Brackets regarding the use of Champions Photo Manager and supersede all prior and contemporaneous agreements, understandings, and representations, whether written or oral.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid.
